"Nexis," "we," and "us" refer to Nexis, a digital agency operating in the United States. "You" refers to any visitor or client.
Nexis provides website design and development, marketing, social media management, and search engine optimization (SEO). The specific scope, deliverables, timeline, and price for any paid engagement are set out in a separate written proposal or agreement between you and Nexis. These Terms are the baseline that applies to all use of the Site and to any service relationship.
Booking a free diagnostic call or submitting a form does not create a contract or obligate either party to work together.
Search rankings, traffic, leads, and revenue depend on many factors outside our control — Google's algorithms, your market and competition, and your own business. We work hard and have delivered strong results, but we do not guarantee:
Any examples or figures shown on the Site reflect specific situations and are not a promise of your results. Your results will vary.
To do our best work we may need timely access to accounts, content, approvals, and feedback. Delays in providing these may affect timelines. You're responsible for the accuracy and legality of any material you provide to us, and for having the rights to use it.
Fees, billing schedule, and any deposit or retainer terms are defined in your individual agreement. Unless stated otherwise in writing, invoices are due on receipt. We may pause work on past-due accounts.
All content on this Site — text, graphics, logos, design, and code — is owned by or licensed to Nexis. You may not copy or reuse it without our written permission.
Work we create specifically for your project (your website, copy, and design assets) becomes yours upon full payment, as detailed in your agreement. We may retain rights to underlying tools, frameworks, and general know-how, and may show the work in our portfolio unless you ask us in writing not to.
The Site and our services use third-party tools, including Cal.com for scheduling and a form provider for inquiries. These are governed by their own terms and privacy policies. We're not responsible for third-party services.
The Site and any free services (including the diagnostic call and any preview) are provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement. We don't warrant that the Site will be uninterrupted or error-free.
To the fullest extent permitted by law, Nexis and its owners and contractors are not liable for any indirect, incidental, special, or consequential damages — including lost profits, revenue, or data — arising from your use of the Site or our services. Our total liability for any claim will not exceed the amount you paid to Nexis in the three (3) months before the claim, or $100, whichever is greater.
You agree to hold harmless Nexis and its owners and contractors from claims, damages, and expenses (including reasonable attorneys' fees) arising from your use of the Site in violation of these Terms, your violation of any third-party right, or content you provide that infringes any intellectual property or privacy right.
These Terms are governed by the laws of the United States and the state in which Nexis operates. Disputes will first be addressed informally by contacting us at [email protected]; if unresolved, they'll be handled by binding arbitration or a court of competent jurisdiction, at our election.
We may update these Terms from time to time. When we do, we'll change the "Last updated" date above. Continued use of the Site after changes means you accept the revised Terms.
